Saint Alphonsus Diversified Care, Inc. v. MRI Associates, LLP

Saint Alphonsus Diversified Care, Inc. (St. Alphonsus) (plaintiff) and three others formed general partnership MRI Associates, LLP (MRIA) (defendant), whose written agreement allowed any partner to withdraw 'if' any of four specified conditions occurred. St. Alphonsus dissociated and sued to determine the value of its partnership interest; MRIA counterclaimed for wrongful dissociation, and the district court granted MRIA partial summary judgment, reading the 'if' language as meaning a partner could only withdraw when one of the four conditions occurred, and the jury (so instructed) awarded MRIA damages; St. Alphonsus appealed.
