International Filter Co. (International) (plaintiff) proposed selling water-purification equipment to Conroe Gin, Ice & Light Co. (Conroe) (defendant) for $1,230, with any modification requiring a signed supplementary agreement. Conroe signed the proposal noting acceptance and requested shipment by March 10; International's president then endorsed the same document with 'O.K.' and International sent a February 14 letter acknowledging receipt and confirming the March 10 shipment date. Conroe later tried to cancel the order through two letters, and International sued for specific performance; the trial court ruled for Conroe, and International appealed.
Whether, if contracting parties intend for their contract to become binding immediately upon acceptance, the offeree must notify the offeror of acceptance for the contract to become binding.
