Covalt and High (partners) jointly leased partnership-owned land to a corporation, CSI, in which both were also officers and shareholders; after Covalt left CSI to work for a competitor and demanded the partnership raise CSI's rent to benefit the partnership (and thus himself, no longer a CSI stakeholder), High declined to renegotiate, and the trial court found High's refusal breached his fiduciary duty to the partnership and awarded Covalt damages for lost rental value.
