The Holdens, partners in Blomfield Company/Holden Joint Venture, assigned all their right, title, and interest in the partnership to Bauer (plaintiff), who for a time received the Holdens' share of monthly partnership income. The other partners (defendants) then voted, under a unanimous agreement that predated Bauer's assignment, to use partnership income instead to pay a fee owed to one partner, stopping all income distributions. Bauer sued the partnership and remaining partners, claiming his right to partnership income had been violated; the trial court granted summary judgment for the defendants, and Bauer appealed.
Whether a partnership must consider the objections of an assignee when making decisions regarding income distribution.
