Insurance broker Walnut Street (plaintiff) had recommended that client Procacci hire benefits administrator BCI (defendant), which paid Walnut Street commissions from Procacci's premiums; after Procacci sought lower premiums and BCI refused, Procacci terminated BCI, and BCI's letter urging Procacci to reconsider disclosed the true, higher-than-expected amount of commissions Walnut Street had been receiving. Procacci then ended its relationship with Walnut Street based on that accurate disclosure, and Walnut Street sued BCI for tortious interference; a jury awarded Walnut Street damages, but the appeals court reversed and entered judgment for BCI based on the truth of the disclosed information.
