V.S.H. Realty, Inc. v. Texaco, Inc.

V.S.H. Realty (plaintiff) bought a petroleum facility 'as is' from Texaco (defendant) after repeatedly asking about oil leakage; Texaco disclosed only oil seepage in the boiler room. A month after closing, the buyer discovered seepage in additional areas the seller had not disclosed, and sued for common-law misrepresentation and violation of a Massachusetts deceptive-practices statute.

Whether a contracting party that discloses partial, potentially misleading information also has a duty to reveal all material facts it knows to avoid liability for deceiving the other party.
