SCI Minnesota Funeral Services, Inc. v. Washburn-McReavy Funeral Corp.

SCI (plaintiff) sold Crystal Lake Cemetery Association to Corinthian (plaintiff) via stock sale, retaining the right to exclude assets not used for the cemetery business, but neither party realized two vacant lots (on which SCI had paid property taxes) were included; Corinthian later resold the same shares to Washburn-McReavy (defendant), and once the vacant lots were discovered, SCI and Corinthian sought rescission or reformation of both agreements, but the district court granted Washburn summary judgment.
