Midwest Mobile Diagnostic Imaging (Midwest Mobile) (plaintiff) ordered four MRI-equipped trailers from Dynamics Corporation of America (Dynamics) (defendant), specifying technical and aesthetic standards needed for patient use, with the first delivery due December 1, 1995 and patients already scheduled beginning December 4. Dynamics delivered the first trailer with unstable walls, attempted a fix by installing steel beams that were unsightly and interfered with the MRI equipment, and Midwest Mobile rejected the redelivered trailer and received no further repair offer; Midwest Mobile then cancelled the entire contract and sued for damages.
Whether, under the Uniform Commercial Code, in an installment contract, a buyer may reject a seller's attempt to cure a nonconforming installment if the defect substantially impairs the value of the installment.
