Kenman Corporation (Kenman) (defendant), general partner of two limited partnerships, mailed offering materials for limited partnership interests to a large, unknown number of recipients drawn from mailing lists including Fortune 500 executives, prior significant investors in similar offerings, and California doctors, none of whom had any prior relationship with Kenman; Kenman never filed a registration statement with the SEC, which brought an enforcement action, and Kenman argued it qualified for a Regulation D registration exemption.
