Kelly Giles (plaintiff), one of several sibling partners in the family-owned Giles Land Company partnership (defendant), sued over being denied adequate access to partnership books and records after missing a meeting about converting to an LLC; the other partners counterclaimed for Kelly's dissociation, presenting evidence he had threatened them and that mutual trust and family relations had broken down irreparably. The trial court found continuing the partnership with Kelly impracticable and ordered his dissociation, and Kelly appealed, arguing his conduct wasn't actually related to the partnership business.
