Friedman v. Sommer

Beulah Friedman (defendant), sponsoring a co-op conversion, raised apartment prices in an amended plan but included a provision granting each tenant a "nonexclusive right to purchase" their apartment at the former, lower price for 30 days. Friedman revoked this offer before the 30 days expired and before tenant Viola Sommer (plaintiff) accepted; Sommer nonetheless purported to accept within the 30-day window and sued when Friedman refused to sell, winning at both the trial and appellate level before Friedman appealed to New York's highest court.
Whether a nonexclusive offer to purchase, extended to multiple potential buyers, qualifies as an irrevocable firm offer under the Uniform Commercial Code.
