Don King Productions (DKP) (plaintiff), under exclusive promotional agreements with both Douglas and Mike Tyson (defendants and rival boxers), arranged their heavyweight title fight in Tokyo, which Douglas won after getting up from a knockdown following a long referee countdown. During and after the fight, DKP's principal argued to officials that the fight should be stopped over the long count and later pressed a sanctioning body to reconsider the outcome, while publicly claiming the tape would show Tyson remained champion. DKP then sued Douglas for breach of contract, and both sides moved for summary judgment.
Whether the implied covenant of good faith and fair dealing is breached when one party acts in a way that deprives the other party of the right to receive the benefits of the agreement.
