Made-Rite (MR) (defendant) hired Casting (plaintiff) to make barrel latches, but Casting delivered far fewer than the contracted amount by the deadline, causing MR to lose its downstream project; Casting shipped the remaining latches over the following months, and MR inspected them, returning some for repair and fixing others itself, without ever formally rejecting them. When MR didn't pay, Casting sued for the sales price and MR countersued for its lost-project damages; the trial court found Casting breached but MR suffered no damages from the breach, awarding neither party recovery, and Casting appealed.
Whether, under the Uniform Commercial Code, a buyer needs to notify the seller of the buyer's rejection or revocation of goods within a reasonable time.
