Edward Beattie and Walter Bailey (plaintiffs) bought land by quitclaim deed from the United States, which had earlier granted five utility easements over the land to the Grand River Dam Authority (GRDA) (defendant). Those easements let the United States, through an officer with immediate jurisdiction over the land, demand that GRDA relocate or remove its facilities if the land was needed by the government or the facilities interfered with government activities. The quitclaim deed transferred all of the government's rights in the property to the plaintiffs, who then demanded GRDA relocate its facilities; GRDA refused. The plaintiffs sued to enforce the relocation rights, and both sides moved for summary judgment; the trial court ruled for GRDA, and the court of appeals affirmed.
Whether a contractual right or duty may be assigned when the personal qualities of a party to the contract are material to it, such that assignment would materially change the contract's terms.
