Abreu v. Unica Indus. Sales, Inc.

Zenaida Abreu (plaintiff) owned 50% of Ebro Foods Inc., while Ralph and William Steinbarth (defendants) owned the rest through La Preferida Inc. Ralph Steinbarth formed Unica Industrial Sales Inc. to compete with Ebro. Abreu sued the Steinbarths and La Preferida for oppressive conduct and fraudulent self-dealing. As an alternative to dissolving the deadlocked corporation, the trial court appointed Silvio Vega-who had family ties to a shareholder group-as a provisional director.
