Norman Mason (defendant), a farmer, had a phone conversation with D. R. Curtis Company (Curtis) (plaintiff) about a potential contract for selling wheat. After the call, Curtis believed they had an oral agreement and sent a confirmation memorandum to Mason, stating that silence would signify acceptance. Mason, thinking the quantity too high, did not respond until threatened with a lawsuit, at which point he declined the contract.
